Terms of Service
01The agreement
These Terms of Service (the Terms) are a contract between you and Murusai LLC, a Virginia limited liability company (Murusai, we, us). They govern your use of the Murusai website at murusai.com, the dashboard at app.murusai.com, the Murusai API, and every related feature, alert channel, and integration (together, the Service).
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy, which is part of this agreement. If you are accepting on behalf of a company or other organization, you confirm that you have authority to bind it, and you and Customer mean that organization.
The Service is offered to businesses and to people acting for a business. It is not for personal, family, or household use, and it is not available to anyone under 18.
If you have a separate signed agreement with Murusai, such as an Enterprise order form or a data processing agreement, that agreement controls where it conflicts with these Terms.
02What the Service does, and what it does not
Murusai watches inbound calls to AI voice agents that you connect or point at the Service, scores each call for signs of automated or abusive traffic, alerts you, and, on plans that include enforcement, ends calls through the controls your telephony or voice platform already exposes. The scoring uses call metadata such as calling and called numbers, timing, call duration, turn timing, and signals aggregated across the Murusai network. It is described further in the Privacy Policy.
Advisory scores
A Murusai score, reason code, or recommended action is an estimate. It is not a determination that any caller is a person, a machine, lawful, or unlawful. You decide what to do with it. Where the Service ends a call for you, it does so on the settings you chose, and the choice to enable enforcement is yours.
No guarantee of detection
Attack techniques change, and no detection is perfect. The Service will miss some abusive calls and will sometimes flag or end a legitimate one. You agree that Murusai is not responsible for calls it did not detect, for calls it flagged or ended in error, or for the platform, carrier, model, or other usage charges you incur from any call, whether or not the Service was running.
Never in the call path
Murusai does not carry your calls and does not receive audio. Events are sent to us by your platform or your own server. If the Service is unreachable, your calls continue exactly as they would without it. Where you configure a carrier or platform to route through a Murusai-served instruction (for example a challenge or gate), you are responsible for setting the fallback so that calls reach your agent if Murusai does not respond.
Third-party platforms
The Service works with platforms and carriers such as Vapi, Retell, Synthflow, Twilio, and Telnyx. They are independent companies with their own terms, prices, and availability. Murusai is not affiliated with them, does not control them, and is not responsible for how they bill you or for changes they make that affect the Service.
Detection methods
The Service returns reason codes with each score. The methods behind them are proprietary and are intentionally not documented. You may not attempt to discover, reverse engineer, probe, or evade them.
03Accounts and security
- Give accurate, current information when you sign up and keep it that way. We may suspend accounts with false or incomplete details.
- You are responsible for everything done through your account, your API keys, and your team members' access. Keep credentials secret, use the two-factor authentication we offer, and tell us at once at support@murusai.com if you believe an account or key is compromised.
- Each telephony or platform account may be connected to one Murusai account. A phone number may be protected by one Murusai account at a time.
- You must have the right to connect every number, platform account, and credential you add. Credentials you give us are stored encrypted and used only to operate the Service for you.
- Account owners can add team members with roles. Owners and admins are responsible for the people they invite.
- We may require email verification before some features are available.
04Acceptable use
You agree not to, and not to let anyone else:
- use the Service to harass, defraud, discriminate against, or unlawfully surveil any person, or to block calls in a way that violates a law that applies to you, including telecommunications, consumer protection, and anti-discrimination law;
- connect numbers, platform accounts, or data that you do not own or have permission to use;
- send us call audio, full transcripts, or the content of conversations, or any data the Service does not ask for. The Service is designed to work from metadata and turn timing, and our integrations accept transcript lengths and hashes, not text;
- send us any data you are not permitted to share with a processor, including data subject to HIPAA, PCI DSS, or similar rules, unless you have a signed agreement with us that covers it;
- probe, scan, stress, or test the Service's detection, or send synthetic traffic to it, other than through your own protected numbers and in good faith;
- scrape, extract, or resell network reputation data, scores, or reason codes, or use them to build a competing product;
- reverse engineer, decompile, or copy any part of the Service, or remove any notice on it;
- interfere with the Service or exceed the rate limits and quotas we publish or communicate to you;
- use the Service from, or for the benefit of, anyone or anywhere subject to sanctions or export restrictions of the United States, the European Union, or the United Kingdom.
We may suspend or limit an account, a number, or an API key without notice if we reasonably believe it is being used in breach of these Terms, is compromised, or is harming the Service or other customers. We will tell you why as soon as we reasonably can.
05Plans, fees, and billing
Plans
The Service is offered on the plans described on our pricing page. At the effective date these are:
- Watch, free, for up to three protected numbers, with alerts and network reputation on every call. You act on alerts yourself.
- Guard, a monthly subscription that includes unlimited numbers, a monthly allowance of calls read, a per-call fee after the allowance, challenge before hangup, and incident reports. Enforcement is on.
- Enterprise, on a signed order form, with volume pricing and additional terms.
Paid plans are a flat monthly fee per account. There is no charge per number, per call read, or per call the Service blocks or ends. Current prices are on the pricing page and in your dashboard, and prices there control over any figure in this document.
Billing
- Paid plans are billed in advance each month by card through Stripe, our payment processor.
- Subscriptions renew automatically each month until you cancel. Cancel any time from the dashboard; the cancellation takes effect at the end of the current period and you keep the plan until then.
- Fees exclude taxes. You are responsible for sales, use, VAT, GST, withholding, and similar taxes, other than taxes on our income. If we are required to collect a tax, we will add it to your invoice.
- If a payment fails we will alert you and retry. If it still fails after [7] days we may downgrade the account to Watch, and enforcement will stop. You remain responsible for amounts owed.
- We may change prices with at least 30 days' notice by email or in the dashboard. Changes apply from your next billing period. If you do not agree, cancel before it starts.
Refunds
Except where the law requires otherwise, fees are non-refundable. If we materially fail to provide the Service for a period you have paid for, contact us and we will credit or refund the affected time.
06Your data and the network
Customer Data
Customer Data means the data you send to the Service or that the Service collects for you: phone numbers, call events, timing, transcript lengths and hashes, alert settings, and your account and team details. You own it. You grant Murusai a license to host, process, transmit, and display Customer Data as needed to provide and support the Service, to keep it secure, and as described in the Privacy Policy.
Network signals
Part of what makes the Service work is that a caller who attacks one protected agent is recognized at the next. You agree that Murusai may derive signals from Customer Data, including calling numbers, number patterns, call timing, and behavior, and use them in aggregated or de-identified form to score calls for all customers (the network). Network signals do not identify you, your business, or your agents to other customers. Enterprise customers can opt out of contributing on their order form.
Usage data
We collect data about how the Service is used and performs, such as request volumes, feature use, and error rates. We use it to run, secure, and improve the Service, and we may publish it in aggregate.
Your responsibilities
You are responsible for the lawfulness of the Customer Data you send us, including any notice or consent your callers or your own customers need. Where data protection law treats you as the controller of that data and Murusai as your processor, our Data Processing Agreement, available on request at support@murusai.com, applies.
Security
We use reasonable administrative, technical, and physical safeguards for Customer Data, including encryption in transit, encryption at rest for credentials and secrets, access controls, and two-factor authentication. No system is perfectly secure, and you should keep your own copies of anything you cannot afford to lose.
Deletion
You can delete numbers, connections, team members, and your account from the dashboard or by emailing us. When an account is deleted we remove or de-identify Customer Data within the periods in the Privacy Policy, except where we must keep it to meet a legal obligation, resolve a dispute, or enforce this agreement, and except for network signals already de-identified.
07Intellectual property
Murusai and its licensors own the Service, including the software, scoring models, reason codes, documentation, and designs, and all rights in them. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business while your account is in good standing. Nothing here transfers any ownership to you.
If you give us feedback or suggestions, we may use them without any obligation to you. You may use our name and logo only to say that you use the Service, and we may list your name and logo as a customer unless you tell us not to at support@murusai.com.
08Confidentiality
Each of us may learn non-public information about the other while using or providing the Service. Each of us will use the other's confidential information only for this agreement, protect it with at least reasonable care, and share it only with people who need it and are bound to keep it confidential. This does not apply to information that is public through no fault of the recipient, already known to the recipient, independently developed, or that must be disclosed by law, in which case the recipient will give notice where allowed. Non-public details of how the Service detects abuse are Murusai's confidential information.
09Availability, support, and changes
- We aim to keep the Service available at all times, but we do not promise uninterrupted service on Watch or Guard. Any uptime commitment is in the Enterprise order form.
- Because the Service is never in the call path, an outage affects detection and alerts, not whether your calls connect.
- Support is by email at support@murusai.com. Enterprise support terms are in the order form.
- We may change, add, or remove features. If a change materially reduces the Service you pay for, we will give notice and you may cancel for a pro-rated refund of prepaid fees for the rest of your period.
- Features marked beta, preview, or early access are provided as is, may change or be withdrawn at any time, and are excluded from any availability commitment.
10Term, suspension, and termination
- These Terms apply from the day you first use the Service until your account is closed.
- You may close your account at any time from the dashboard or by emailing us.
- We may suspend or terminate your account if you materially breach these Terms and do not cure the breach within 14 days of notice, if a breach cannot be cured, if you do not pay amounts owed, if we are required to by law, or if we discontinue the Service, in which case we will give at least 30 days' notice and refund any prepaid fees for the period after discontinuation.
- On termination your right to use the Service ends, enforcement stops, and outstanding fees become due. Sections that by their nature should survive, including data, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, and disputes, survive.
11Disclaimers
THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. TO THE FULLEST EXTENT PERMITTED BY LAW, MURUSAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL DETECT, PREVENT, OR END ANY PARTICULAR CALL OR ATTACK, BE ERROR-FREE, OR OPERATE WITHOUT INTERRUPTION. SCORES, REASON CODES, AND ALERTS ARE ESTIMATES AND ARE NOT LEGAL, COMPLIANCE, OR SECURITY ADVICE.
12Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MURUSAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR PLATFORM, CARRIER, MODEL, OR OTHER THIRD-PARTY USAGE CHARGES ARISING FROM ANY CALL, WHETHER OR NOT THE SERVICE DETECTED IT, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.
MURUSAI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS IF YOU HAVE PAID NOTHING.
These limits do not apply to liability that cannot be limited by law, to either party's indemnity obligations, or to a party's breach of confidentiality or infringement of the other's intellectual property. Some jurisdictions do not allow some of these limits, so some may not apply to you.
13Indemnity
You will defend and indemnify Murusai and its officers, directors, employees, and contractors against any third-party claim, and the resulting damages, costs, and reasonable legal fees, arising from Customer Data, your use of the Service in breach of these Terms or of law, your handling of your own callers, or your telephony and platform accounts. We will give you prompt notice of the claim and reasonable cooperation, and you will not settle a claim in a way that admits fault on our behalf without our consent.
Murusai will defend and indemnify you against a third-party claim that the Service, used as permitted, infringes that party's United States patent, copyright, or trademark, or misappropriates its trade secret. If such a claim arises we may modify the Service, obtain a license, or, if neither is reasonable, end your subscription and refund prepaid fees for the unused period. This does not cover claims arising from Customer Data, your platforms, or combinations we did not supply.
14Governing law and disputes
These Terms are governed by the laws of the State of Virginia, without regard to its conflict of law rules. The state and federal courts located in Henrico County, Virginia have exclusive jurisdiction over any dispute arising out of these Terms or the Service, and each of us consents to that jurisdiction, except that either party may seek an injunction in any court to protect its intellectual property or confidential information.
Before filing a claim, each of us agrees to try to resolve the dispute by writing to the other and talking in good faith for 30 days. Any claim must be brought within one year after it arises, where the law allows that limit. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15General terms
- Changes to these Terms. We may update these Terms. For material changes we will give at least 30 days' notice by email or in the dashboard before they take effect. Continued use after that date is acceptance. If you do not agree, close your account before the change takes effect.
- Notices. We will send notices to the email on your account. Send notices to us at support@murusai.com or by mail to Murusai LLC, 8401 Mayland Dr #11633, Richmond, VA 23294.
- Assignment. You may not assign these Terms without our written consent, except to a successor in a merger or sale of substantially all of your assets who agrees to be bound. We may assign them to an affiliate or successor.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
- Independent parties. We are independent contractors. Nothing here creates a partnership, agency, or joint venture.
- Export. You will comply with export and sanctions laws that apply to your use of the Service.
- Entire agreement. These Terms, the Privacy Policy, and any order form or data processing agreement are the entire agreement between us about the Service and replace prior discussions. If any part is unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it.
